Startup Corporate Lawyer Needed for Equity & Corporate Cleanup

Less than 30 hrs/week Only freelancers located in the United States may apply. We’re looking for a startup/corporate attorney with experience advising Delaware C-Corporations on equity and governance matters. The work will involve reviewing existing equity documents and helping us properly document and clean up changes related to former team members, company stock, the cap table, and the equity pool. We need help with: Reviewing existing stock and equity agreements Preparing any required repurchase or termination-related documentation Drafting board consents and corporate approvals Advising on cap table updates Reviewing treatment of company-repurchased shares Reviewing the equity incentive pool and any required amendments Confirming everything is properly documented under Delaware corporate law Ideal experience: Delaware C-Corps Startup equity and founder stock Stock repurchases and vesting Equity incentive plans Board consents and corporate governance Carta, Clerky, or similar platforms
